TERMS.

00 Introduction

These Developer Terms of Service ("Developer Terms") govern your access to and use of the Orrin Apps developer platform, including but not limited to the Orrin Python SDK (orrin), API endpoints, documentation, developer console, sample code, tools, and any related services (collectively, the "Developer Platform") provided by Stellr, LLC ("Stellr", "we", "us", or "our").

By accessing, registering for, or using the Developer Platform, you agree to be bound by these Developer Terms, the Orrin General Terms of Service (if applicable), and any other policies or guidelines we publish from time to time (collectively, the "Agreement"). If you are entering into this Agreement on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.

01 Access and Developer Account

  • 1.1 You must create a developer account to use most features of the Developer Platform.
  • 1.2 You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account.
  • 1.3 We may suspend or terminate your developer account at any time, with or without cause, including for violation of these Developer Terms.

02 License Grant

2.1 Subject to your compliance with this Agreement, Stellr grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:

  • a) use the Orrin Python SDK and other provided software solely to develop, test, and integrate Applications with the Orrin platform;
  • b) use the APIs to communicate with Orrin services on behalf of end-users who have authorized your Application;
  • c) use the documentation and sample code solely for developing Applications.

2.2 "Application" means any software, website, service, integration, bot, plugin, extension, or other product you develop that interacts with or uses the Developer Platform or Orrin services.

03 Restrictions

You agree not to (and not to allow any third party to):

  • Reverse engineer, decompile, disassemble, or attempt to derive source code from the Developer Platform (except to the extent applicable law prohibits this restriction).
  • Modify, adapt, translate, or create derivative works of the SDK or APIs (except as expressly permitted).
  • Remove, obscure, or alter any proprietary notices.
  • Use the Developer Platform to develop or distribute any product that replicates or competes with core Orrin functionality.
  • Use the Developer Platform in any manner that violates any applicable law or regulation.
  • Introduce viruses, worms, Trojan horses, or other malicious code.
  • Scrape, crawl, or systematically collect data from Orrin services except through officially documented API endpoints with proper rate limiting.
  • Sell, rent, lease, sublicense, or otherwise transfer rights in the Developer Platform.
  • Use the Developer Platform to build spam, phishing, or abusive automation tools.
  • Impersonate any person or entity, or misrepresent your affiliation.

04 Your Applications & Responsibilities

4.1 Responsibility

You are solely responsible for your Applications, including their development, operation, maintenance, support, content, data handling, and compliance with law.

4.2 Endorsement

You must clearly identify your Application as a third-party product and not imply any official endorsement by Stellr unless we have given you written permission.

4.3 Privacy Policy

You must provide and maintain a privacy policy for your Application that complies with applicable data protection laws.

4.4 Security

You must implement and maintain appropriate security measures consistent with industry standards.

05 Data & Privacy

  • 5.1 When your Application accesses user data through the Orrin APIs, you may only use that data for the purposes explicitly authorized by the end-user and only as necessary to provide the functionality of your Application.
  • 5.2 You must not store Orrin user tokens or credentials longer than necessary and must implement secure storage practices.
  • 5.3 You agree to comply with all applicable data protection laws (including but not limited to GDPR, CCPA/CPRA, etc.) when processing personal data obtained via the Developer Platform.

06 Rate Limits, Monitoring & Abuse

6.1 We may impose rate limits on API usage at our sole discretion.

6.2 We continuously monitor usage of the Developer Platform. Excessive or abusive usage may result in throttling, suspension, or termination.

07 Intellectual Property

7.1 Stellr retains all right, title, and interest in the Developer Platform, Orrin trademarks, logos, and other intellectual property.

7.2 You grant Stellr a perpetual, irrevocable, worldwide, royalty-free license to use, display, and reproduce any trademarks, logos, or branding you provide in connection with showcasing your Application in our developer gallery, marketplace, or promotional materials (if any).

08 Feedback

Any suggestions, comments, ideas, improvements, or other feedback you provide regarding the Developer Platform may be used by Stellr without any obligation to you.

09 Termination

  • 9.1 Either party may terminate this Agreement at any time for any reason.
  • 9.2 Upon termination, you must immediately cease all use of the Developer Platform and delete all copies of the SDK and any cached/stored Orrin data in your possession.

10 Disclaimer & Limitation of Liability

The Developer Platform is provided "AS IS" and "AS AVAILABLE" without warranty of any kind, express or implied.

To the maximum extent permitted by law, Stellr shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, even if advised of the possibility of such damages.

11 Changes to these Developer Terms

We may modify these Developer Terms at any time. We will provide reasonable notice of material changes (normally via email or in-console notification). Continued use after changes constitutes acceptance.

12 Governing Law & Dispute Resolution

These Developer Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Delaware.

13 Miscellaneous

If any provision is held invalid, the remainder shall continue in full force. Our failure to enforce any right does not constitute a waiver.

By using the Developer Platform, you acknowledge that you have read, understood, and agree to be bound by these Developer Terms.
